Frasers want with AO?\"\/><\/div>\n<p>Frasers Group acquisition of a <span style=\"font-weight: 400;\">near-20% stake in electrical retailer AO.com this week wasn\u2019t a move that many were expecting.<\/span><\/p>\n<p>After all, the <span style=\"font-weight: 400;\">Mike Ashley-owned retail group<\/span> is largely made up of fashion businesses. <span style=\"font-weight: 400;\">However, Ashley has had the electricals retailer in his sights for some time.<\/span><\/p>\n<p>In fact, just last July the Sports Direct tycoon looked to get involved in <span style=\"font-weight: 400;\">Ao.com\u2019s \u00a340m fundraising call<\/span><span style=\"font-weight: 400;\"> by either underwriting the deal or buying shares.<\/span><\/p>\n<p>The firms said Frasers Group\u2019s<span style=\"font-weight: 400;\">\u00a0\u00a375m investment was the \u201cculmination of productive talks over the last two years about establishing a strategic partnership\u201d.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">But what exactly does Frasers Group want with AO?<\/span><\/p>\n<h3><b>Right place, right time<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">Frasers has a penchant for making well-timed acquisitions with owner Mike Ashley known to love a bargain.<\/span><\/p>\n<figure id=\"attachment_122918\" aria-describedby=\"caption-attachment-122918\" style=\"width: 700px\" group most recently upped its stake in struggling fashion etailer Asos after the online retailer\u2019s shares plummeted to a 12-month low.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">With AO\u2019s second largest shareholder Odey Asset Management\u2019s founder Crispin Odey at the centre of a sexual misconduct claims, and his investors rapidly jumping ship, now appears a good time to pounce on his shares.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">According to\u00a0<\/span>Peel Hunt analyst John Stevenson, the deal was \u201copportunistic\u201d for Frasers following the \u201cfallout this weekend\u201d with Odey stepping down from his role on Friday and the business forced to freeze funds this week.<\/p>\n<p><span style=\"font-weight: 400;\">Similarly, Russ Mould at AJ Bell points out that Frasers \u201cis always one to spot a bargain\u201d noting that the retailer\u2019s share price has fallen significantly from above 400p in 2021 to below 40p last summer after it fell to a full-year loss.<\/span><\/p>\n<p>While the Sports Direct owner\u2019s venture into the world of fridge freezers may seem odd at first, according to Mould, \u201cthere is some logic\u201d behind it.<\/p>\n<p>Indeed, Frasers Group chief executive, and Ashley\u2019s son-in-law, Michael Murray told The FT last September that it was to be more selective in its acquisitions in future.<\/p>\n<p>He said: \u201cIf it doesn\u2019t fit into sport, premium or luxury or add value to our ecosystem or platform,\u2009then we won\u2019t be buying it.\u201d<\/p>\n<p>It would appear that AO fits into the latter category of adding value to the Frasers ecosystem.<\/p>\n<p><span style=\"font-weight: 400;\">Founded in 2000 by John Roberts, AO is the biggest seller of large domestic appliances in the UK. However, it\u2019s not just an electricals retailer.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The business also owns a recycling facility, a charitable foundation and \u2013 what seems particularly appealing to Frasers \u2013 its own logistics firm.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">\u201cWhat AO does extremely well is two-man deliveries, which are very expensive and very difficult to do profitably,\u201d says Stevenson.<\/span><\/p>\n<p><img decoding=\"async\" loading=\"lazy\" class=\"size-full wp-image-137618 aligncenter\" src=\"https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/120A7579.jpg\" alt=\"What does Frasers want with AO?\" width=\"640\" height=\"427\" srcset=\"https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/120A7579.jpg 640w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/120A7579-300x200.jpg 300w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/120A7579-630x420.jpg 630w\" sizes=\"auto, (max-width: 640px) 100vw, 640px\"\/><\/p>\n<p><span style=\"font-weight: 400;\">This expertise could prove extremely useful to Frasers, which in recent years has sought to <\/span><span style=\"font-weight: 400;\">diversify its portfolio,<\/span> <span style=\"font-weight: 400;\">buying Sofa.com in February 2019, followed by online department store Studio Retail, which also sells electricals, in February 2022 and homewares retailer Amara in December 2022.<\/span><\/p>\n<p>Murray explains: \u201c<span style=\"font-weight: 400;\">Frasers will benefit from AO\u2019s valuable know-how in electricals and two-man delivery, helping us to drive growth in our bulk equipment and homeware ranges.\u201d<\/span><\/p>\n<p>However, Mould<span style=\"font-weight: 400;\">\u00a0argues that spending \u00a375m \u201con buying nearly a fifth of a business when it could talk to any number of delivery companies for help\u201d is \u201codd\u201d.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">AO boss Roberts seems happy enough about his new shareholder labelling it as a \u201cfantastic endorsement for our business\u201d.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">\u201cWe are delighted to welcome Michael and the wider Frasers team into the AO family and look forward to realising the significant potential that we see for this partnership.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">\u201cAs we continue to build on our strategy of pivoting to profitable growth, it will be hugely exciting to have a range of compelling strategic opportunities to explore together.\u201d<\/span><\/p>\n<figure id=\"attachment_137619\" aria-describedby=\"caption-attachment-137619\" style=\"width: 640px\" class=\"wp-caption aligncenter\"><img decoding=\"async\" loading=\"lazy\" class=\"wp-image-137619 size-full\" src=\"https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/John-Roberts-AO-CEO-AG-52-copy.jpg\" alt=\"What does Frasers want with AO?\" width=\"640\" height=\"426\" srcset=\"https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/John-Roberts-AO-CEO-AG-52-copy.jpg 640w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/John-Roberts-AO-CEO-AG-52-copy-300x200.jpg 300w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/John-Roberts-AO-CEO-AG-52-copy-631x420.jpg 631w\" sizes=\"auto, (max-width: 640px) 100vw, 640px\"\/><figcaption id=\"caption-attachment-137619\" class=\"wp-caption-text\">John Roberts, CEO and founder of AO World<\/figcaption><\/figure>\n<p><span style=\"font-weight: 400;\">It\u2019s unclear how exactly the retailer will benefit from its newest shareholder. Although AO ended its five-store concession trail with Tesco as it focused on profitable sales, it could once again take the step into the world of bricks-and-mortar again.\u00a0<\/span><\/p>\n<p>While electricals are a core part of John Lewis sales, it is an area that rival House of Fraser, part of the Frasers stable, is particularly weak in. Could Ao concessions in store change this?<\/p>\n<p>There could also be other potential tie-ups with other parts of the Frasers business, such as Studio Retail.<\/p>\n<h3><strong>So, what is Frasers grand plan?<\/strong><\/h3>\n<p>Of course, Frasers Group and its owner Mike Ashley are highly acquisitive and in the past, with Debenhams, House of Frasers and Studio Retail to name but a few, the share buy has been a precursor to a takeover attempt.<\/p>\n<p>Is this the case with AO? It seems unlikely, according to\u00a0Stevenson.<\/p>\n<p>\u201cThere\u2019s not an obvious synergy between the two business. They obviously like the idea of taking an investment if they\u2019re going to benefit from that going forward.<\/p>\n<p>\u201cIt doesn\u2019t feel like it\u2019s a precursor to bid.
