{"id":9562,"date":"2023-06-08T21:11:45","date_gmt":"2023-06-08T21:11:45","guid":{"rendered":"https:\/\/dmsretail.com\/RetailNews\/is-a-takeover-on-the-cards-for-asos\/"},"modified":"2023-06-08T21:11:45","modified_gmt":"2023-06-08T21:11:45","slug":"is-a-takeover-on-the-cards-for-asos","status":"publish","type":"post","link":"https:\/\/dmsretail.com\/RetailNews\/is-a-takeover-on-the-cards-for-asos\/","title":{"rendered":"Is a takeover on the cards for Asos?"},"content":{"rendered":"<p> <p><a href=\"https:\/\/dmsretail.com\/online-workshops-list\/\"><img loading=\"lazy\" decoding=\"async\" class=\"alignnone size-full wp-image-496\" src=\"https:\/\/dmsretail.com\/RetailNews\/wp-content\/uploads\/2022\/05\/RETAIL-ONLINE-TRAINING-728-X-90.png\" alt=\"Retail Online Training\" width=\"729\" height=\"91\" srcset=\"https:\/\/dmsretail.com\/RetailNews\/wp-content\/uploads\/2022\/05\/RETAIL-ONLINE-TRAINING-728-X-90.png 729w, https:\/\/dmsretail.com\/RetailNews\/wp-content\/uploads\/2022\/05\/RETAIL-ONLINE-TRAINING-728-X-90-300x37.png 300w\" sizes=\"auto, (max-width: 729px) 100vw, 729px\" \/><\/a><\/p><br \/>\n<\/p>\n<div>\n<div class=\"td-post-featured-image\"><img loading=\"lazy\" decoding=\"async\" width=\"696\" height=\"470\" class=\"entry-thumb\" src=\"https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/ASOS-October-2022-1-1024x692-1-696x470.jpg\" srcset=\"https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/ASOS-October-2022-1-1024x692-1-696x470.jpg 696w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/ASOS-October-2022-1-1024x692-1-300x203.jpg 300w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/ASOS-October-2022-1-1024x692-1-768x519.jpg 768w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/ASOS-October-2022-1-1024x692-1-622x420.jpg 622w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/ASOS-October-2022-1-1024x692-1-e1686227196534.jpg 600w\" sizes=\"auto, (max-width: 696px) 100vw, 696px\" alt=\"Asos takeover\" title=\"Asos takeover\"\/><\/div>\n<p>It\u2019s been a difficult 12-months for Asos as the ex-City darling battled with supply chain woes and higher trading costs along with dampened consumer spending.<\/p>\n<p>Last week, the online fashion giant, which was valued at more than \u00a37bn just over two years ago, was relegated from the FTSE 250 index causing its shares to hit a 12-month low, leaving it at a value of \u00a3400m.<\/p>\n<p>Over the weekend, it emerged that the retailer was approached by Alibaba-backed Turkish fashion retailer Trendyol back in December with a \u00a31bn takeover bid.<\/p>\n<p>Although it appears this approach was rebuffed, the slump in Asos\u2019 share price could make the retailer a bargain purchase right now.<\/p>\n<p>The fact that Mike Ashley\u2019s Frasers Group upped its stake in the online retailer to 8.8% will add further fuel to the fire that Asos could soon be snapped up.<\/p>\n<h3><strong>Is Asos vulnerable to a takeover?<\/strong><\/h3>\n<p>With its share price significantly lower than in previous years, there is no doubt that potential suitors will be sniffing around the online fashion giant.<\/p>\n<p>Asos has three big shareholders: Bestseller owner Anders Holch Povlsen, who holds a 26% stake, hedge fund Camelot Capital Partners, which who has 15%, and Frasers Group with 8.8%, making up almost 50% of the shares.<\/p>\n<p>Peel Hunt analyst John Stevenson says: \u201cAny any kind of bid would have to have them on board and I\u2019m not convinced they would be.\u201d<\/p>\n<p>But could one of these three make a move to buy the retailer?<\/p>\n<p>Stevenson points out that Povlsen has been a long term shareholder at Asos and has had \u201cample opportunity to take it private in the past\u201d.<\/p>\n<p>But what about the other two shareholders?<\/p>\n<p>It\u2019s no secret that Mike Ashley loves a bargain, with the retail group famed for snapping up businesses in trouble. The group has also been focused on building an online portfolio of late, acquiring Studio, Missguided and ISawItFirst.com.<\/p>\n<p>However, Stevenson is unconvinced Frasers will make a move for the business.<\/p>\n<p>He points out that as the smallest of the big three Asos investors, the retail group is \u201cnot in the driving seat\u201d, adding that it would \u201chave to work with Camelot and Bestseller and I\u2019m not sure necessarily anything\u2019s going to happen in the short term\u201d.<\/p>\n<h3><strong>How interested would investors be in Asos?<\/strong><\/h3>\n<p>Despite Asos\u2019 current woes, Stevenson can see why it would be attractive to investors.<\/p>\n<p>He calls Asos \u201ca significant UK platform that\u2019s massively relevant in the UK and fashion market\u201d.<\/p>\n<p>\u201cIt\u2019s the sort of crown jewel, it also has the Topshop IP as well.\u201d<\/p>\n<p><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter wp-image-137413\" src=\"https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/topshop-website--1024x583.jpg\" alt=\"\" width=\"585\" height=\"333\" srcset=\"https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/topshop-website--1024x583.jpg 1024w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/topshop-website--300x171.jpg 300w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/topshop-website--768x437.jpg 768w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/topshop-website--696x396.jpg 696w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/topshop-website--1068x608.jpg 1068w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/topshop-website--738x420.jpg 738w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/topshop-website-.jpg 1477w\" sizes=\"auto, (max-width: 585px) 100vw, 585px\"\/><\/p>\n<p>Retail Economics senior consultant Nick Found adds that although Asos may be confident of its future growth, \u201cinvestor sentiment in the retailer remains fragile and the business remains a target for takeover\u201d.<\/p>\n<p>\u201cBalance sheet aside, you can see why,\u201d he explains.<\/p>\n<p>\u201cFundamentally Asos has high value digital assets \u2013 whether that\u2019s search engine optimisation, its reach on social media, or its 26 million customer base online.\u201d<\/p>\n<p>However, like Stevenson, he points out that \u201cany bid would not be straight forward however, as interested parties would have to convince Asos\u2019s largest shareholders\u201d.<\/p>\n<p>Right now, with Asos\u2019 shares languishing, some of those shareholders will be out of pocket.<\/p>\n<p>Last month, the online giant posted first-half losses of \u00a3290.9 million, compared to a \u00a315.8m loss the year before.<\/p>\n<p>The retailer has also had its credit insurance cut, with Allianz Trade withdrawing insurance altogether, which has led to some suppliers severing ties with the firm.<\/p>\n<p>Corporate finance professional Claire Trachet adds that while <span class=\"markf5icxx0bq\" data-markjs=\"true\" data-ogac=\"\" data-ogab=\"\" data-ogsc=\"\" data-ogsb=\"\">Asos<\/span> has \u201cmade its mark as a top contender in the online retailing space\u201d when companies experience challenges like it is \u201cit makes it more likely that a takeover could take place\u201d.<\/p>\n<p>\u201cThere are dealmakers in the market currently that are sat on a dry powder pile having paused investments in 2022. They will be looking to take advantage of any companies that are potentially undervalued but have a lot of potential to rebound quickly.\u201d<\/p>\n<p>Globaldata senior apparel analyst Pippa Stephens believes a takeover could be a good thing for the retailer.<\/p>\n<p>\u201cIf <span data-markjs=\"true\">Asos<\/span> were to be taken over, it will put it in a better position to achieve its desperately needed turnaround, as its future is currently looking bleak with constant currency revenue excluding Russia expected to decline by low double-digits in H2.\u201d<\/p>\n<p>\u201cA new owner would need to focus on widening Asos\u2019 appeal again through featuring more versatile and sophisticated styles within its ranges and ensuring it can better compete with competitors like Shein and Boohoo.com in regard to price.\u201d<\/p>\n<p>This turnaround is critical to Asos.<\/p>\n<p>Found says the retailer needs to adapt to the evolving fashion landscape.<\/p>\n<p>With a young core consumer base, which he calls a \u201cparticularly fast-moving part of the market,\u201d the business is sensitive to new waves of changing shopper behaviour and new entrants.<\/p>\n<p>\u201cIt will need to remain at the sharp end of digital development, adapt to cross-channel behaviours and answer to sustainability pressures to remain relevant,\u201d says Found.<\/p>\n<p><img decoding=\"async\" loading=\"lazy\" class=\"aligncenter wp-image-137415\" src=\"https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/03cd789931416b26c5d6908c011e4955.jpg\" alt=\"\" width=\"611\" height=\"432\" srcset=\"https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/03cd789931416b26c5d6908c011e4955.jpg 820w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/03cd789931416b26c5d6908c011e4955-300x212.jpg 300w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/03cd789931416b26c5d6908c011e4955-768x543.jpg 768w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/03cd789931416b26c5d6908c011e4955-696x492.jpg 696w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/03cd789931416b26c5d6908c011e4955-594x420.jpg 594w, https:\/\/www.retailgazette.co.uk\/wp-content\/uploads\/2023\/06\/03cd789931416b26c5d6908c011e4955-100x70.jpg 100w\" sizes=\"auto, (max-width: 611px) 100vw, 611px\"\/><\/p>\n<p><span style=\"color: #222222; font-family: Verdana, Geneva, sans-serif; font-size: 15px;\">There is certainly pressure for new Asos boss Jos\u00e9 Antonio Ramos Calamonte\u2019s 12-month plan to work quickly.<\/span><\/p>\n<p><span style=\"color: #222222; font-family: Verdana, Geneva, sans-serif; font-size: 15px;\">The retailer last month was forced to raise <\/span>\u00a380m from shareholders and borrowing \u00a3275m through an asset-based loan from Elliott-backed distressed lender Bantry Bay to shore up its balance sheet.<\/p>\n<p>The refinancing is understood to have angered Frasers Group, which had its help offer snubbed in favour of the interest-laden loan, set to cost Asos \u00a345m in the second half of the year alone.<\/p>\n<p>However, Stevenson says the business \u201cshould have quite a significant level of headroom\u201d and a \u201cdecent level of cash\u201d which will enable it to trade through this challenging period and recover.<\/p>\n<p>He adds that the next six months are all about getting costs down and trading profitably.<\/p>\n<p>\u201cIt\u2019s got a base to build from, but first thing they\u2019ve got to do is right the ship and stabilise things,\u201d Stevenson says.<\/p>\n<p>That will be Calamonte\u2019s focus as he captains Asos through these tricky waters, whether or not a new owner attempts to come aboard.<\/p>\n<p><em><strong>Click here to sign up to Retail Gazette\u2018s free daily email newsletter<\/strong><\/em><\/p>\n<\/p><\/div>\n<p><p><a href=\"https:\/\/dmsretail.com\/online-workshops-list\/\"><img loading=\"lazy\" decoding=\"async\" class=\"alignnone size-full wp-image-496\" src=\"https:\/\/dmsretail.com\/RetailNews\/wp-content\/uploads\/2022\/05\/RETAIL-ONLINE-TRAINING-728-X-90.png\" alt=\"Retail Online Training\" width=\"729\" height=\"91\" srcset=\"https:\/\/dmsretail.com\/RetailNews\/wp-content\/uploads\/2022\/05\/RETAIL-ONLINE-TRAINING-728-X-90.png 729w, https:\/\/dmsretail.com\/RetailNews\/wp-content\/uploads\/2022\/05\/RETAIL-ONLINE-TRAINING-728-X-90-300x37.png 300w\" sizes=\"auto, (max-width: 729px) 100vw, 729px\" \/><\/a><\/p><br \/><\/p>\n","protected":false},"excerpt":{"rendered":"<p>It\u2019s been a difficult 12-months for Asos as the ex-City darling battled with supply chain woes and higher trading costs along with dampened consumer spending.
