The latest proposal is perhaps the clearest example.

Marketplaces could become the tax collector

Chancellor John Healey is reportedly considering making online marketplaces responsible for collecting VAT from UK sellers with annual turnover above £90,000.

The measure could raise up to £1bn for the Treasury and would build on rules introduced in 2021, which made marketplaces liable for VAT on certain sales by overseas businesses. The government has argued that continued non-compliance is distorting competition and disadvantaging businesses that pay the tax correctly.

Under such rules the role of marketplaces would expand. Rather than simply providing the technology connecting buyer and seller, platforms would become responsible for administering part of the seller’s tax obligations.

The proposed changes would likely hit smaller and growing businesses harder. They could face changes to cash flow, pricing and administration.

The issue is particularly significant for businesses that have built their model around marketplace economics. A seller that has traditionally competed on price may have less room to absorb VAT without either increasing prices or accepting lower margins.

The £1,500 question for peer-to-peer sellers

Tax rules are also increasingly affecting the millions of people using peer-to-peer platforms.

Since 2024, platforms including eBay and Vinted have been required to share information with HMRC when sellers reach certain reporting thresholds – generally 30 sales or around £1,700 in annual transactions. But crossing that threshold does not automatically mean tax is due.

The important distinction is between selling unwanted personal possessions and trading with the intention of making a profit.

Someone clearing out their wardrobe is generally not considered to be running a business. Someone regularly buying products to resell at a profit potentially is.

The existing trading allowance applies to trading income before expenses, rather than acting as a blanket tax-free profit limit. HMRC says people making or buying goods to sell for profit may need to report their income once they exceed the allowance.

That distinction could become increasingly important as resale evolves from casual decluttering into a professional retail channel.

There is currently no general UK rule capping the profits a peer-to-peer seller can make. But the concept of introducing tighter thresholds or limits illustrates the direction of debate around the informal economy: when does a casual seller become a retailer?

For platforms such as Vinted and Depop, that question matters because their appeal partly rests on the simplicity of peer-to-peer commerce.

Product safety moves up the agenda

Tax is only one part of the regulatory picture. The government is also consulting on a new product safety framework that would place greater responsibilities on online marketplaces to prevent unsafe and non-compliant goods from being sold.

Proposals include obligations around identifying and managing unsafe products, seller compliance and providing consumers with appropriate product information. The government has explicitly said marketplaces should be held to comparable product safety standards to physical retailers.

Brands and third-party sellers could face more checks before products are listed, greater demands for documentation and faster removal of products deemed non-compliant.

That may increase the administrative burden, but it could also change the competitive landscape.

Responsible retailers have long argued that they should not be undercut by sellers offering cheaper products while avoiding the same compliance obligations.

Consumer protection is another pressure point

Marketplaces are also operating in a tougher consumer protection environment. The Digital Markets, Competition and Consumers Act has strengthened the CMA’s ability to enforce consumer law directly, including action around fake reviews, misleading practices and online pricing.

Fake reviews and incentivised reviews are now among banned practices, while the CMA has been actively investigating online businesses over issues including pricing and choice architecture.

For marketplace sellers, this puts greater emphasis on how products are marketed, how discounts are presented and how customer reviews are generated and displayed.

Platforms will increasingly have to police these practices rather than simply leaving responsibility with individual merchants.

What comes next?

The bigger question for marketplaces is where responsibility ultimately sits. The original marketplace proposition was relatively simple: provide the audience, technology and infrastructure while thousands of independent sellers supplied the products.

That model is becoming harder to separate from the responsibilities traditionally associated with being a retailer.

VAT collection would give platforms a tax role. Product safety reforms could give them greater responsibility for policing sellers. Consumer regulation increasingly requires them to monitor how products and promotions are presented.

And peer-to-peer selling is becoming harder to treat as entirely separate from mainstream retail as professional resellers build businesses on platforms originally designed for consumers.

It could create a more level playing field for brands, particularly where they are competing against overseas sellers or businesses operating outside established compliance frameworks.

But it could also make marketplaces more selective about who can sell, what documentation they require and how products can be marketed.

The marketplace opportunity is unlikely to disappear. Instead, the cost of participating in it – in tax, compliance and operational complexity – could rise.

For sellers, the message is increasingly clear: marketplace growth may still be attractive, but the days of treating the platform simply as a shop window are coming to an end.

Click here to sign up to Retail Gazette‘s free daily email newsletter

Online marketplaces have transformed the way brands reach consumers, but the model is increasingly coming under regulatory scrutiny.
